Terms of service.
These terms cover your use of the GridPath desktop application and any related services. Plain-English version below. By installing or using GridPath, you agree to them.
1. The app
GridPath is a desktop application that connects to large-language model providers (currently Anthropic and OpenAI) so you can edit spreadsheets with AI assistance. The app runs locally on your machine; we don't host your files.
2. Your account
You're responsible for keeping your account credentials secure. Don't share your login. You can close your account at any time by emailing privacy@gridpath.dev; see Privacy for what gets deleted.
3. LLM provider relationship
When you sign in with Claude or ChatGPT, you're using your subscription with that provider — not ours. We pass your prompts and a small workbook preview to the provider you've selected, governed by their terms (Anthropic, OpenAI). Your usage of their services is between you and them. GridPath is not responsible for outages, content moderation, or rate limits enforced by the LLM provider.
4. What the agent does to your files
The agent edits cells, applies formats, inserts rows, and otherwise
modifies the open .xlsx based on your prompts. Every
batch of changes is reviewable before it commits, and the app keeps
a .bak file of the prior save. You are responsible for
reviewing the agent's output before relying on it for financial,
legal, medical, or other consequential decisions. GridPath's
output is a suggestion, not a guarantee.
5. Acceptable use
You agree not to:
- Use GridPath for anything illegal in your jurisdiction.
- Attempt to extract our application binaries, signing keys, or OAuth secrets for redistribution.
- Use the app to generate content that violates Anthropic's or OpenAI's acceptable-use policies (harmful, deceptive, infringing, or abusive content).
- Reverse-engineer for the purpose of building a competing product using our brand or proprietary tool-call protocols.
6. Beta software
GridPath is currently in beta. Bugs happen. The app is provided "AS IS" without warranty of any kind, express or implied — including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of liability
To the maximum extent permitted by law, GridPath's total liability to you for any claim arising out of or relating to these terms is limited to USD $100 or the amount you paid us in the prior 12 months, whichever is greater. We are not liable for indirect, incidental, consequential, or punitive damages (including lost profits, lost data, or business interruption).
8. Pricing
During the beta period, GridPath is free. After beta, certain features may require a paid GridPath subscription; bring-your-own-key usage will remain free. We'll give signed-in users at least 30 days' notice before any pricing change takes effect.
9. Intellectual property
GridPath, the GridPath logo, and the application code are our intellectual property. The workbooks you create and edit using GridPath are yours. We don't claim any ownership of your content.
10. Termination
You can stop using GridPath at any time and delete the app. We can suspend or terminate your account if you materially violate these terms. Provisions that by their nature should survive termination (limitation of liability, intellectual property, dispute resolution) will survive.
11. Changes to these terms
If we materially change these terms, we'll bump the "Last updated" date above and notify signed-in users. Continued use after the change means you accept the new terms.
12. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware.
